Visa's "Share Your Holidays" Consumer Sweepstakes Official Rules
No Purchase or Obligation Necessary. Non-Purchase Entries and Purchase Entries have an Equal Chance of Winning.

To Enter: The Sweepstakes begins November 1, 2002, and ends December 31, 2002 ("Sweepstakes Period"). An eligible Visa cardholder automatically receives one (1) Sweepstakes entry for each purchase made with his/her Visa card during the Sweepstakes Period at any participating merchant location in the United States. Only purchases made with a Visa card that is in good standing and issued in the U.S. by a participating financial institution, and processed through Visa U.S.A. Inc.'s transaction-processing system during the Sweepstakes Period, are eligible for automatic entry. Cash advances, balance transfers, non-U.S.-dollar purchases, Interlink®-processed transactions, and purchases authorized by entering a PIN (Personal Identification Number) are excluded from entry. Cards that are stolen, fraudulent, tampered with, or otherwise altered are not eligible for automatic entry.
To enter without purchase or obligation: Hand-print your name, address, city, state, zip, day and evening phone numbers, and the words "Visa's Share Your Holidays Consumer Sweepstakes" on a 3" x 5" card, and mail in a stamped #10 envelope to: Visa's Share Your Holidays Consumer Sweepstakes, P.O. Box 869, Madison, WI 53701-0869. Mail-in entries must be postmarked by January 2, 2003, and received by January 9, 2003. Enter as often as you wish; however, only one entry per stamped envelope will be accepted. No mechanical reproductions permitted. Entries become the property of Visa U.S.A. Inc. ("Sponsor") and will not be returned. |

Eligibility: Sweepstakes is open to all legal residents of the fifty (50) United States and the District of Columbia, eighteen (18) years of age or older, as of November 1, 2002. Commercial card eligibility is subject to employer policies regarding Sweepstakes participation. Employees of Visa U.S.A. Inc., Visa International Service Association, their respective Member financial institutions, their respective subsidiaries and affiliates, prize suppliers, and the advertising and promotion agencies of Visa U.S.A. Inc., including asterisk* ("asterisk"), Frankel & Company ("Frankel"), their parent, and its subsidiaries and affiliates, and the immediate families (spouse, and parents, children and siblings, and each of their spouses, regardless of where they live) and persons living in the households of each of these individuals, whether related or not, are ineligible. Void where prohibited or restricted by law. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. |

Drawing: On or about January 11, 2003, a random drawing from among all eligible entries received will be conducted under the direction of asterisk, an independent judging agency. All prizes will be awarded. |

Odds: Estimated odds are 1:47,713,901; however, actual odds of winning a prize depend upon the total number of eligible entries received. |

Prizes: Fifty (50) Grand Prizes: Each prize will consist of a cash award in the amount of $20,000.00. The winner will have a choice of: a.) an embossed Member Bank Visa card with the $20,000.00 available through an account set up by the issuing Member Bank; or b.) a one-time payment of $20,000.00 in the form of a check. Total Prize Pool: $1,000,000.00. |

Prize Restrictions: Prizes are not transferable. No substitution of prizes permitted except at the sole discretion of Sponsor. Federal, state, and local taxes and any expenses relating to the acceptance and use of a prize not specified are the responsibility of each winner. |

Prize Claims: Winners will be notified by phone and a traceable method of delivery, and will be required to complete and sign an Affidavit of Eligibility and Liability Release and, where legal, a Publicity Release, both of which must be returned within fourteen (14) days after prize notification or the prize will be forfeited and awarded to an alternate winner. If a Grand Prize is won by a person who is not of the legal age of majority in the state of residence ("minor"), at Sponsor's option either the required documents must be confirmed and signed by winner's parent or legal guardian or the prize will be awarded in the name of his/her parent or legal guardian. If a prize or prize notification is unclaimed or returned as undeliverable, the prize may be forfeited and awarded to an alternate winner. |

Additional Terms: By participating, entrants or, if minors, their parents or legal guardians agree to: a.) the Official Rules and the decisions of the judges and Sponsor, which shall be final in all respects; and b.) release, discharge, and hold harmless Visa U.S.A. Inc., Visa International Service Association, their respective Member financial institutions, their respective subsidiaries, affiliates, officers, directors, and employees, including asterisk, Frankel, their parent, and its subsidiaries and affiliates, from any liability, claims, or damages arising out of their participation in the Sweepstakes and the acceptance, use, misuse, or possession of any prize. By accepting a prize, winner or, if a minor, his/her parent or legal guardian agrees to, where legal, Sponsor's and its designees' use of his/her name and/or likeness for advertising and publicity purposes without compensation and, upon request, will provide consent to such use in writing. Sponsor reserves the right to modify prize award procedures. |

Limitation of Liability: Sponsor is not responsible for printing or typographical errors in any Sweepstakes-related materials; for stolen, lost, late, misdirected, damaged, incomplete, illegible, or postage-due mail or entries; or for transactions that are lost, misdirected, or fail to enter into the processing system; or are processed, reported, or transmitted late or incorrectly; or are lost for any reason, including computer, telephonic, paper-transfer, or human error, or electronic, computer, or telephonic malfunction, damage, error, omission, interruption, defect, delay in operation or transmission, or any combination thereof. If, for any reason, this Sweepstakes is not capable of running as planned, or infection by computer viruses, bugs, or tampering, unauthorized intervention, fraud, actions of entrants, technical failures, or any other causes corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any entry or entrant and/or to cancel, terminate, modify, or suspend the Sweepstakes and at its sole discretion award prizes from any eligible entries validly received prior to the action taken. This Sweepstakes is governed by laws of the United States with venue in San Francisco, CA for the resolution of all claims and disputes. |
