The eBay Direct Pay Sweepstakes ("Sweepstakes") begins at 10:00 AM (PT) May 26 and ends at 11:59:59 PM PT June 30, 2003 ("Promotional Period")

1. Eligibility: Sweepstakes open to all legal residents in the 50 United States, and the District of Columbia, 18 years of age and older and who are confirmed registered members of www.eBay.com (the "eBay Site") with a valid eBay User ID as of May 26, 2003. Employees of eBay Inc. ("Sponsor") and its respective subsidiaries and affiliates, and the advertising and promotion agencies of Sponsor, including Marden-Kane, Inc. and its affiliates, and the immediate families (spouse, parents, children and siblings, and each of their respective spouses, regardless of where they live) and persons living in the households of such individuals, whether related or not, are not eligible to participate. Void where prohibited or restricted by law. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. By participating, entrants agree to abide by and be bound by these Official Rules, agree to waive any right to claim ambiguity in the rules, and agree to accept the decisions of the Sponsor and Marden-Kane, Inc. as final in all matters relating to the Sweepstakes.

2. How to Enter. [1] All confirmed registered members of the eBay U.S. Site with a valid eBay User ID ("eBay Users") who are registered for eBay Direct Pay and receive at least one invoice from Sponsor for fees due to Sponsor between April 1, 2003 and June 30, 2003 are automatically entered in the Sweepstakes. If you fall into this category and do not wish to be entered in the Sweepstakes, please call 1-800-441-3993 and your name will be removed. [2] If you are an eBay User and you have not previously signed up for eBay Direct Pay, you will automatically receive one entry in the Sweepstakes if you register to use eBay Direct Pay during the Promotional Period. If you have not previously registered for eBay Direct Pay, you may sign up now, at no cost, by going to the following URL address on the eBay Site: https://arbd.ebay.com/ws/eBayISAPI.dll?SetupDDPayment&v2redirectpage=958. Please note that you can also register for eBay Direct Pay at eBay Live! by going to booth # 626 and completing the registration process online. [3] To enter by mail without signing up for eBay Direct Pay: hand print your name, address, city, state, Zip, e-mail address, eBay User ID and your day and evening phone numbers on a 3"x 5" card and mail in a #10 envelope to: eBay Direct Pay Sweepstakes, P.O. Box 4014, Grand Rapids, MN 55730-4014. Mail-in entries must be postmarked by June 30, 2003 and received by July 7, 2003. Sponsor is not responsible for stolen, lost, late, misdirected, damaged, incomplete, inaccurate, illegible entries or postage due mail. No mechanical reproductions of entries permitted. Limit of one (1) entry per eligible person's eBay User ID, regardless of entry method. All entries become the exclusive property of Sponsor and are subject to the terms set forth in Sponsor's privacy policy available on the eBay Site and those provided herein.

3. Drawing: On or about July 9, 2003, a random drawing will be conducted by Marden-Kane, Inc., an independent judging organization, from among all eligible entries received (all persons who have signed up for eBay Direct Pay and mail-in entries). All prizes will be awarded. Only one prize per person or household. The odds of winning depend upon the total number of actual eligible entries received.

4. Prizes. Each winner will receive a credit for the Qualifying eBay Seller Fees (defined below) incurred as a result of listing items for sale on the eBay Site during the period beginning August 1, 2003 and ending July 31, 2004 ("Prize Period"), up to a maximum amount as follows: One (1) Grand Prize Winner will receive a credit towards Qualifying eBay Seller Fees up to $25,000, Two (2) First prize winners will receive a credit towards Qualifying eBay Seller Fees up to $10,000 each, and Two (2) Second Prize winners will receive a credit towards Qualifying eBay Seller Fees up to $5,000 each. Total Approx. Retail Value of all prizes $55,000.00. "Qualifying eBay Seller Fees" include insertion fees, final value fees, feature fees and listing upgrade fees, but not PayPal fees. The Qualifying eBay Seller Fees will be credited to each winner's eBay account associated with the winning eBay User ID as they are incurred as a result of listings and sales that are made by each such winner during the Prize Period. To be clear, the prize winners will not receive a credit for any seller fees that exceed the amounts listed above, and the seller fees must be incurred during the Prize Period. You will be reimbursed for your eBay seller fees only if you meet the above requirements as a seller in good standing and you are signed up for eBay Direct Pay. You will not receive a credit for refunded fees. The winner's eBay account must be in Good Standing (defined below). In order for an account to be deemed to be in "Good Standing" as that term is used herein, a hold must not have been placed on the account and the account must not be suspended or past due as of the date on which the prize is awarded. No prize substitutions, cash equivalent of prize, or transfer of prizes permitted except that the Sponsor, at its sole discretion, may substitute a prize of equal value for any reason. Prizes cannot be sold bartered, transferred or traded, and any winner that attempts to do so will (i) automatically be disqualified, (ii) not receive any additional credits for eBay seller fees and (iii) be required to return any credits for eBay seller fees provided by Sponsor within thirty (30) days. Winners are responsible for payment of all taxes on prize and for any other expenses relating to the acceptance and use of the prize not specified herein.

5. Winner Notification: The potential winner will be notified by USPS priority mail with delivery confirmation and will be required to complete and sign an Affidavit of Eligibility and Liability Release, and where legal, a Publicity Release, and IRS form W-9, all of which must be returned within 14-days from prize notification date or the prize will be forfeited and awarded to an alternate winner. If the prize or prize notification is unclaimed or returned as undeliverable, the prize will be forfeited and awarded to an alternate winner. If an entrant changes his/her telephone number and/or address after he/she enters the Sweepstakes, it is his/her sole responsibility to notify the Sponsor by (postal) mailing notice to the Sweepstakes Administrator (address listed below) to be received by the end of the Promotional Period. By entering the Sweepstakes entrants agree to the use of their name and photograph/likeness for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, except where prohibited by law.

6. Limitation of Liability: By participating in the Sweepstakes entrants agree to release, indemnify and hold harmless eBay Inc., Marden-Kane, Inc. and their parent companies (where applicable), and any and all their affiliates, subsidiaries and their respective agents, representatives, officers, directors, shareholders and employees (collectively, "Releasees") from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting from or arising from participation in the Sweepstakes or acceptance, possession, use, misuse or nonuse of the prize that may be awarded. Entrants agree that any and all disputes will be governed by the laws of the state of California. Releasees are not responsible for printing or typographical errors in any Sweepstakes related materials; or for transactions that are lost, misdirected, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, human or other error; or for electronic, computer, or telephonic malfunction or error, including inability to use or access eBay Direct Pay or any web site associated with this promotion, or process any transaction thereon. If in the Sponsor's opinion, there is any suspected or actual evidence of use of automated entry devices or programs or electronic or non-electronic tampering with any portion of the Sweepstakes, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, the judges reserve the right at their sole discretion to disqualify any individual who tampers with the entry process and or void any entries submitted fraudulently, to modify or suspend the Sweepstakes or to terminate the Sweepstakes and conduct a random drawing to award the prize using all non-suspect entries received as of the termination date. Sposor reserves the right to modify or terminate the Sweepstakes in its entirety at any time, and for any reason, at Sponsor's sole discretion. Should the Sweepstakes be modified or terminated prior to the stated expiration date, notice will be posted at www.ebay.com/services/directpaysweeps/index.html. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the promotion is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Any attempts by an individual to access any web site associated with this promotion via a bot script or other brute force attack or any other unauthorized means will result in the IP address becoming ineligible. Use of automated entry devices or programs is prohibited.
